Introduction & Acceptance of Terms
These Terms & Conditions (“Terms”) govern the provision of accounting, bookkeeping, tax, payroll and advisory services by CFO Accounting (“we”, “us”, “our”) to our clients (“you”, “your”).
By engaging our services, instructing us to act on your behalf, or continuing to use our website, you agree to be bound by these Terms, together with any separate engagement letter issued to you.
Our Services
We provide outsourced accounting services including bookkeeping, VAT returns, payroll, self-assessment, company accounts, CIS returns, capital gains calculations, company formation, virtual CFO support and management accounts.
The specific scope of services provided to you will be set out in your individual engagement letter or service agreement, which takes precedence over these general Terms where there is any conflict.
Client Responsibilities
You agree to provide accurate, complete and timely information, records and documentation necessary for us to carry out the agreed services.
Delays or inaccuracies in the information you provide may affect our ability to meet statutory deadlines, and responsibility for any resulting penalties will be assessed in line with your engagement letter.
Engagement & Onboarding
Our services formally commence once an engagement letter has been signed and any required identification and anti-money laundering checks have been completed.
We will confirm the scope of work, responsibilities and timelines with you during the onboarding process before any ongoing services begin.
Fees & Payment Terms
Our services are typically provided on a fixed monthly pricing basis, as agreed and confirmed in writing prior to commencement of work.
Invoices are issued in line with the agreed billing cycle and are payable within the timeframe stated on the invoice. Late payments may incur administrative fees or suspension of services until outstanding balances are settled.
Cancellation & Termination
Either party may terminate the engagement by providing written notice in line with the notice period specified in your engagement letter, typically 30 days unless otherwise agreed.
On termination, we will support a reasonable handover process, including the provision of relevant records and documentation to you or your new advisor, subject to settlement of any outstanding fees.
Liability & Limitation of Liability
We will provide our services with reasonable skill and care in accordance with applicable professional standards. However, our liability for any loss arising from our services is limited to the fees paid for the relevant service period, except where liability cannot be excluded by law.
We are not liable for losses arising from inaccurate, incomplete or late information provided by you, or from decisions made by you or third parties based on our advice without further consultation.
Intellectual Property
Reports, management accounts and other deliverables prepared for you as part of our services become your property upon full payment of associated fees, for your internal business use.
We retain ownership of our underlying templates, methodologies and working papers, which remain our intellectual property.
Confidentiality
We treat all client information as confidential and will not disclose it to third parties except where required to deliver the agreed services, where you have given consent, or where disclosure is required by law or regulation.
Professional Indemnity & Regulation
Our team works in accordance with the professional and ethical standards applicable to each service and to the individuals working on your account. Relevant membership or supervision details can be provided before engagement.
We maintain professional indemnity insurance appropriate to the services we provide.
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, and any disputes arising from them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. Continued use of our services after any update constitutes acceptance of the revised Terms.
